A buy-sell agreement is a contract between co-owners of a private corporation. It stipulates how a shareholder's stake in a corporation may be reassigned if that partner dies, is incapacitated, or for whatever reason wants to leave the business. A good buy-sell agreement should specify how the business should be valued along with terms of sale in order to avoid uncertainty as well as risk of a new, unexpected, and unwelcome co-owner (for example, the incapacitated owner's spouse)
Bylaws are the rules for the internal governance of a corporation. They contain the basic rules for the conduct of the corporation’s business and affairs. The bylaws may contain any provisions for managing the business and regulating the corporation’s affairs that do not conflict with statutory law or the corporation’s Articles of Incorporation.
An Operating Agreement is an agreement between co-owners of an LLC (referred to as 'members' that serves a similar function to a Buy-Sell Agreement and Bylaws of a corporation, usually in a less formal format.
